1. Acceptance of Terms

By accessing and using the Herbs King website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Products and Services

Herbs King Co. specializes in the export of premium Egyptian dried herbs and botanicals. All products are subject to availability and quality standards. We reserve the right to modify or discontinue products without prior notice.

3. Business Relationship and Orders

Herbs King Co. operates on a B2B (Business-to-Business) model. Our services are intended for commercial buyers, importers, distributors, and manufacturers.

Minimum Order Quantities:

• Air freight: Minimum 500 kg per order
• Sea freight: Minimum 1 metric ton (1000 kg) per order

Order Process:

• Initial inquiry and product specifications discussion
• Quotation provided based on requirements
• Sample provision (if requested)
• Order confirmation and contract agreement
• Production and quality control
• Shipment and documentation

Pricing and Payment:

• All prices are quoted in USD unless otherwise specified
• Prices are subject to change based on market conditions
• Payment terms: Letter of Credit (LC), Telegraphic Transfer (TT), or as agreed
• Final pricing confirmed in written quotation

4. Product Specifications and Quality

All products meet international quality standards and are subject to rigorous quality control processes.

5. Shipping, Delivery, and Incoterms

We offer flexible shipping options based on Incoterms 2020. Common terms include:

• FOB (Free on Board): Goods delivered to port of shipment
• CIF (Cost, Insurance, Freight): Delivered to destination port
• CFR (Cost and Freight): Freight paid to destination
• EXW (Ex Works): Pickup from our facility

Delivery Times:

• Production lead time: 7-14 days (depending on order size)
• Air freight: 3-7 days after shipment
• Sea freight: 15-45 days depending on destination

Shipping Documentation:

• Commercial Invoice
• Packing List
• Certificate of Origin
• Phytosanitary Certificate
• Certificate of Analysis (COA)
• Bill of Lading / Airway Bill
• Additional certificates as required by destination country

6. Quality Assurance and Inspection

All products undergo comprehensive quality inspection before shipment:

• Visual inspection for color, appearance, and foreign matter
• Laboratory testing for pesticides, heavy metals, and microbiological safety
• Moisture content and purity testing
• Certificate of Analysis (COA) provided for each batch
• Phytosanitary certificates as required
• Certificate of Origin
• Third-party inspection available upon request (buyer's cost)

7. Claims and Disputes

Quality claims must be submitted in writing within the following timeframes:

• Quantity claims: Within 7 days of delivery
• Quality claims: Within 14 days of delivery
• Hidden defects: Within 30 days of delivery

Claim Requirements:

• Written notification with detailed description
• Clear photographs of the issue
• Original packaging and labels
• Independent laboratory test results (if applicable)
• Batch/lot numbers and shipping documents

We are committed to resolving all claims fairly and promptly. Claims will be reviewed and addressed within 15 business days of receipt.

8. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to:

• Natural disasters (floods, earthquakes, droughts)
• War, terrorism, or civil unrest
• Government actions or regulatory changes
• Pandemics or epidemics
• Strikes or labor disputes
• Transportation disruptions
• Crop failures or agricultural issues

In such events, we will notify you promptly and work to minimize impact and find alternative solutions.

9. Intellectual Property

All content on this website, including text, images, logos, and product descriptions, is the property of Herbs King Co. and protected by copyright and trademark laws. Unauthorized use is prohibited.

10. Limitation of Liability

Herbs King Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Use or inability to use our products
• Delays in delivery or shipment
• Loss of profits or business opportunities
• Product quality issues beyond our control
• Third-party actions or omissions

Our total liability shall not exceed the value of the specific order in question. We work in good faith to resolve all issues promptly and fairly.

11. Confidentiality

Both parties agree to keep confidential all business information, pricing, specifications, and trade secrets shared during the course of business. This obligation continues for 3 years after the business relationship ends.

12. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.

Dispute Resolution:

1. Negotiation: Parties agree to first attempt resolution through good faith negotiation
2. Mediation: If negotiation fails, disputes may be referred to mediation
3. Arbitration: Unresolved disputes shall be settled by arbitration in accordance with Egyptian law or international arbitration rules as agreed

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
